Introduction
Setting up a local legal entity is often seen as the first step to selling in a new country. But for businesses testing demand, managing early-stage volumes, or simply avoiding the cost and time of incorporation, both the European Union and India offer legitimate routes to market entry without a company on the ground. Each comes with its own compliance mechanics, and understanding them properly is essential before goods start moving.
Entering the EU Market Without a Local Entity
Fiscal Representation
Non-EU businesses generally cannot register for VAT directly in most EU member states without a local establishment. The standard workaround is appointing a fiscal representative, a locally based entity that becomes jointly and severally liable for the business's VAT obligations. This representative handles registration, files periodic VAT returns, and communicates with tax authorities, effectively acting as a compliance bridge.
Use an Importer of Record to Move Goods Across Borders
An Importer of Record (IOR) is responsible for ensuring that goods are imported in accordance with applicable customs regulations. Depending on the country and arrangement, this can involve import documentation, customs declarations, duty payments and regulatory compliance.
For companies entering Europe, IOR services can help coordinate imports into the relevant EU country without automatically requiring the foreign business to establish a subsidiary there.
Similarly, foreign businesses exploring India can work with eligible local importers and logistics partners to manage import operations, subject to India's customs, importer registration and product-specific requirements.
An IOR arrangement can be particularly useful for:
- Businesses shipping samples, equipment or commercial goods into a new market.
- Companies testing demand before committing to a local establishment.
- International businesses managing cross-border deliveries for customers.
The important consideration is that an IOR arrangement does not automatically eliminate the foreign seller's tax, product registration or other legal obligations.
Leverage an Employer of Record for Local Hiring
Building a local team is often an important part of international expansion. But establishing a company solely to hire a few employees can involve significant administrative and financial commitments.
An Employer of Record (EOR) provides an alternative for certain employment arrangements. An EOR acts as the formal employer for local employment purposes, handling responsibilities such as employment contracts, payroll administration and statutory employment compliance, while the client company directs the employee's day-to-day work within the agreed arrangement.
For businesses entering Europe or India, EOR services can support initial hiring for sales, customer support, market research and business development.
This allows companies to assess market opportunities and build local capabilities before deciding whether a permanent establishment or subsidiary is necessary.
Simplified VAT Schemes
For e-commerce and distance sales, mechanisms like the Import One Stop Shop (IOSS) and One Stop Shop (OSS) simplify VAT declaration and payment for imported goods valued at or below EU thresholds, reducing the administrative burden that would otherwise require multiple country-specific VAT registrations.
What This Means in Practice
A non-EU business can typically sell into the EU by combining VAT registration through a fiscal representative, an IOR arrangement for customs clearance, and, where applicable, IOSS/OSS for smaller-value shipments. What it cannot do is act as its own customs declarant without either an EU establishment or one of these intermediary structures in place.
Entering the India Market Without a Local Entity
India's framework works differently, largely because importing goods requires an Import Export Code (IEC), which is tied to a PAN (Permanent Account Number) issued to an entity with an Indian presence. This makes direct, unassisted importing by a foreign company without any India-linked structure difficult. That said, several lighter-footprint options exist:
Liaison Office
A Liaison Office (LO), approved by the Reserve Bank of India, allows a foreign company to explore the Indian market, represent the parent company, and even promote import and export activity but it cannot undertake any commercial or trading activity directly or earn income in India. It functions purely as a communication and market-research channel, funded entirely through remittances from the parent company.
Branch Office
A Branch Office permits a wider range of activities, including the actual export and import of goods, and can act as a buying or selling agent in India. However, it requires RBI approval, a profitable financial track record from the parent company (typically over the preceding five years), and a minimum net worth threshold, making it a heavier commitment than a Liaison Office.
Working Through a Local Distributor or Indenting Agent
The most common route for businesses not ready for either structure is partnering with a local distributor, consignee, or indenting agent who holds their own IEC and acts as the importer of record in India. The foreign business supplies goods and manages the commercial relationship, while the Indian partner manages customs formalities, duty payment, and regulatory compliance.
Build a Market Entry Strategy with the Right Logistics Partner
Whether entering Europe or India, international expansion involves coordinating customs clearance, transportation, warehousing, documentation and local distribution.
Working with an experienced logistics partner can help businesses understand the operational requirements of their chosen market and coordinate the movement of goods across borders.
